Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of HDL websites, applications, social and identity features, communications, and related services that link to these Terms (collectively, the “Services”).

For purposes of these Terms, “HDL,” “we,” “us,” and “our” mean HDL LLC, the intended operator of the Services at public launch. The HDL Foundation is not the contracting party for the Services unless a separate service expressly states otherwise.

By creating an HDL account, accepting these Terms during onboarding, or otherwise using the Services, you agree to these Terms and the policies incorporated by reference, including the Privacy Policy and Community Guidelines. If you do not agree, do not use the Services.

1. Who May Use HDL

HDL is an 18+ service at launch. You must be at least 18 years old and, where applicable law requires a higher age of majority or eligibility threshold, satisfy that higher requirement.

HDL may use a neutral age-eligibility process before durable account activation. Possession of an email address, phone number, Google or Apple account, wallet, social account, or similar credential does not by itself establish age eligibility unless an approved provider supplies an age-assurance signal that HDL may lawfully rely upon.

You must also be legally capable of entering into these Terms, not be prohibited by applicable law from using the Services, and provide information that is not materially false or misleading.

HDL may revise its minimum-age policy in a future version of these Terms as the Services, moderation systems, legal requirements, and operational capabilities evolve. Any such change will apply only after the revised policy is published and, where required, presented for acceptance.

2. Your Account and Account Security

Your HDL account is a persistent digital identity associated with an immutable internal account identifier and a public-facing @handle. HDL may add social, wallet, identity, communication, and other capabilities to that account over time, subject to these Terms and any additional terms required for a particular feature.

You are responsible for safeguarding your credentials, devices, authentication methods, recovery methods, and other access mechanisms. You are responsible for activity performed through your account to the extent permitted by law.

You may not:

  • use stolen credentials, tokens, sessions, or authentication material;
  • sell or transfer unauthorized access to an account;
  • bypass access controls, security controls, or rate limits;
  • create or operate accounts for fraud, impersonation, evasion, spam, or abuse; or
  • knowingly provide materially false identity or eligibility information where HDL requires accurate information for security, compliance, or feature access.

HDL may require additional private identity or verification information for security, platform integrity, legal compliance, recovery, or access to future higher-risk or regulated features. A public HDL profile does not need to display a legal name merely because HDL privately verifies information about the account holder.

3. Handles and Public Identity

Your public @handle is HDL’s primary user-facing identity and addressing mechanism. You may use a pseudonymous public identity unless a particular feature or applicable law requires otherwise.

A handle is an identifier made available under these Terms. It is not a property right, and obtaining a handle does not grant ownership of another person’s or organization’s trademark, trade name, name, likeness, publicity right, or other legal right.

HDL may reserve, protect, restrict, quarantine, rename, reclaim, release, or place a cooldown on a handle when reasonably necessary for safety, phishing or impersonation prevention, infringement concerns, fraud, disputes, abandoned reservations, legal obligations, technical integrity, or protection of the Services and their users.

Priority Claims

HDL may operate a bounded Priority Claim program that gives selected people or organizations an opportunity to claim a familiar handle. A Priority Claim invitation or reservation does not create an HDL account, prove membership, imply endorsement, establish legal ownership of the handle, or make the invitee appear as an HDL user before the account is actually claimed and verified.

The currently approved initial Priority Claim window is 30 days for an applicable priority record unless a separately approved campaign states otherwise. Expiration does not guarantee that a protected or high-risk identity handle becomes generally available.

Transfers and Sales

Private sale, brokerage, assignment, or transfer of an HDL handle outside an expressly authorized HDL process is prohibited. HDL may introduce an official transfer or allocation mechanism in the future, but no such marketplace or transfer right is promised by these Terms.

4. User Content and Ownership

You retain ownership of original content that you own. HDL does not take ownership of your original posts, media, comments, replies, profile material, or other content merely because you submit it to the Services (“User Content”).

You are responsible for your User Content and for ensuring that you have the rights, permissions, and authority necessary to submit it.

License to HDL

When you submit User Content, you grant HDL a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, adapt for technical formatting, display, perform, distribute, moderate, and otherwise use that User Content as reasonably necessary to operate, secure, improve, and provide the Services.

For public User Content, this license also allows HDL to feature, reproduce, and display that public content in ordinary HDL marketing, product demonstrations, app-store materials, social posts, launch materials, screenshots, and other promotion of the Services. HDL should seek separate permission before using a person’s identity or content in a manner that materially implies a personal endorsement or makes that person the central subject of a distinct paid or major advertising campaign beyond ordinary platform promotion.

This license permits HDL to use service providers and technical partners as reasonably necessary to provide the Services. It does not authorize HDL to sell ownership of your User Content.

If you delete User Content or your account, HDL will cease new uses of deleted content as reasonably practicable, subject to content already shared or re-shared by others, technical backups, legal or security retention, evidence preservation, and promotional materials already created or distributed before deletion.

5. Acceptable Use and Community Conduct

HDL supports broad lawful expression, subject to clear safety, integrity, and legal boundaries.

You must follow the Community Guidelines and may not use the Services to engage in unlawful activity; fraud, scams, phishing, or deceptive financial promotion; impersonation; harassment, threats, or doxxing; spam or manipulation; infringement; malware or security abuse; exploitation or abuse; prohibited violent or extremist activity; or other conduct that materially threatens users, the Services, or platform integrity.

The Community Guidelines may provide more detailed and evolving rules for content and behavior. If there is a direct conflict between these Terms and the Community Guidelines, these Terms control unless applicable law requires otherwise.

6. Moderation and Enforcement

HDL may use automated systems, technical controls, and human review for moderation, safety, integrity, abuse prevention, and enforcement as those capabilities are implemented.

Subject to applicable law, HDL may, at its discretion, limit distribution or visibility, remove content, restrict functionality, suspend or terminate accounts, preserve relevant evidence, restrict handles, or take other reasonably necessary action to protect users, HDL, third parties, or the integrity of the Services.

HDL is not required to host every form of lawful content and may establish platform rules that are more restrictive than the minimum required by law.

No moderation system is perfect. The presence or absence of moderation action does not constitute endorsement, verification, or legal approval of User Content.

7. Intellectual Property and Rights of Others

You may submit only content you have the right to use and share. You may not use the Services to infringe copyright, trademark, publicity, privacy, or other rights.

HDL may remove or restrict content after receiving an intellectual-property complaint, including while the matter is being reviewed, and may take action against repeat or serious infringement.

Copyright, trademark, and related complaints may be sent to [email protected] or through any dedicated Copyright & IP process that HDL publishes. HDL may request information reasonably necessary to assess a complaint or counter-notice.

HDL and its licensors retain all rights in HDL software, designs, trademarks, branding, interfaces, documentation, and original HDL content, excluding User Content and third-party materials.

8. Crypto, Wallets, Markets, and Financial Information

HDL is a crypto-native identity and social platform. Unless a separately launched service expressly states otherwise under applicable terms and compliance requirements, HDL is not acting as a bank, broker, securities exchange, investment adviser, custodian, liquidity provider, or market maker merely by operating the Services.

Information, feeds, discussions, rankings, recommendations, project or asset displays, community content, and other materials available through HDL are not financial, investment, legal, accounting, or tax advice merely because HDL hosts, organizes, recommends, or displays them.

Digital assets and blockchain activity involve substantial risk. You are responsible for evaluating transactions, counterparties, protocols, addresses, networks, and financial decisions before acting.

Where wallet-linked authentication or proof is offered, HDL may ask you to sign a message using a user-controlled wallet. HDL will not ask you to provide a seed phrase, recovery phrase, or private key for ordinary authentication or support.

Future wallet routing, sending, swapping, purchasing, custody, fiat, or other transaction functionality may require separate product, legal, compliance, risk, and disclosure terms before launch. The existence of a roadmap, prototype, internal API, or dormant code does not mean such a service is currently available.

9. Third-Party Services and Blockchain Networks

The Services may interoperate with third-party identity providers, wallets, blockchains, protocols, applications, APIs, websites, or content.

Third parties control their own services, availability, terms, privacy practices, fees, risks, and content. HDL is not responsible for a third party merely because HDL links to, displays, integrates with, or references that third party.

The appearance of a project, token, protocol, wallet, organization, or other third party on HDL does not by itself imply sponsorship, endorsement, partnership, affiliation, investment merit, or verification.

10. Automated Access, Scraping, APIs, and Platform Integrity

Unless HDL expressly authorizes otherwise, you may not use automated means to scrape or harvest data, evade technical or access limits, manufacture engagement, bulk-create deceptive accounts, distribute spam, phishing, or malware, or probe or exploit vulnerabilities without authorization.

HDL may later provide public APIs, SDKs, command-line tools, webhooks, events, or MCP access. Internal or application-facing endpoints are not automatically a public developer platform and do not grant third parties permission to use them outside approved interfaces.

Additional developer terms, scopes, rate limits, data-use restrictions, and security requirements may apply if HDL launches public developer capabilities.

11. Service Changes, Experiments, and Availability

HDL is evolving. We may add, modify, limit, suspend, replace, or discontinue features, experiments, integrations, or portions of the Services.

We do not promise that every announced, experimental, planned, beta, staging, or roadmap capability will launch or remain available.

12. Suspension, Termination, and Account Deletion

You may request account deletion using the methods described in the Privacy Policy and Data Deletion instructions.

HDL may restrict, suspend, or terminate access for violations of these Terms or other HDL policies; fraud or abuse; security threats; infringement; legal requirements; risk to users or the Services; or other grounds reasonably related to operation and protection of the platform, subject to applicable law.

Termination does not eliminate provisions that by their nature should survive, including provisions concerning ownership, licenses already exercised, intellectual property, disclaimers, limitations of liability, disputes, and obligations arising before termination.

13. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” HDL DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, ACCURATE, COMPLETE, OR SUITABLE FOR EVERY PURPOSE.

HDL DOES NOT WARRANT OR ENDORSE USER CONTENT, THIRD-PARTY CONTENT, DIGITAL ASSETS, PROTOCOLS, MARKET INFORMATION, BLOCKCHAIN NETWORKS, WALLETS, OR OTHER THIRD-PARTY SERVICES MERELY BECAUSE THEY APPEAR ON OR INTEROPERATE WITH HDL.

YOU ARE RESPONSIBLE FOR YOUR OWN USE OF THE SERVICES, CONTENT YOU RELY UPON, AND DECISIONS OR TRANSACTIONS YOU CHOOSE TO MAKE.

Some jurisdictions do not allow certain warranty exclusions, so some of the foregoing may not apply to you.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HDL LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, DIGITAL ASSETS, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF ADVISED THAT SUCH DAMAGES MAY OCCUR.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HDL’S TOTAL AGGREGATE LIABILITY FOR CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO HDL FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) USD $100.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

15. Responsibility for Claims Caused by Your Conduct

To the extent permitted by law, you agree to defend, indemnify, and hold harmless HDL LLC and its affiliates, officers, directors, employees, contractors, and agents from third-party claims, liabilities, damages, judgments, losses, and reasonable costs arising from your unlawful use of the Services, your material breach of these Terms, or User Content that you submit in violation of another party’s rights.

HDL will provide reasonable notice of a covered claim where practicable. HDL may control the defense or settlement of a claim, and you may not settle a claim in a manner that admits liability by HDL or imposes obligations on HDL without HDL’s written consent.

16. Changes to These Terms

HDL may update these Terms as the Services, law, or operating model changes. A revised version will identify its effective date and version.

Where required by law or where a change materially affects your rights, HDL will provide additional notice or obtain renewed acceptance before the revised Terms apply.

Continued use after a revised version becomes effective constitutes acceptance only to the extent permitted by applicable law.

17. Disputes and Governing-Law Posture

HDL has intentionally not adopted a mandatory arbitration clause, class-action waiver, exclusive venue clause, or fixed governing-law clause in Version 1.0 pending counsel review of the launch entity and jurisdictional strategy.

Unless and until HDL publishes a later version containing counsel-approved dispute terms, disputes remain subject to rights, remedies, procedures, and applicable law that otherwise govern them.

Before filing a formal claim, you and HDL are encouraged, but not required where prohibited or impracticable, to attempt informal resolution by contacting [email protected] with a description of the issue and requested resolution.

Nothing in this section waives rights that cannot lawfully be waived.

18. General Terms

If a provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the extent permitted by law, and the unenforceable provision will be enforced to the maximum lawful extent or severed as appropriate.

HDL’s failure to enforce a provision is not a waiver of that provision. Headings are for convenience only.

You may not assign these Terms or your HDL account except through an expressly authorized HDL process. HDL may assign or transfer these Terms in connection with a reorganization, merger, acquisition, financing, sale of assets, or other lawful business transaction.

These Terms, together with policies and additional terms expressly incorporated by reference, constitute the agreement between you and HDL concerning the Services covered by them.

If an incorporated policy conflicts with these Terms, these Terms control unless that policy expressly states that it governs the specific service or applicable law requires otherwise.
